BOARD OF DIRECTORS COMMITTEES

ISA’s Board of Directors has established four institutional committees that act as permanent supporting bodies for specific issues by providing advisory, formulation, and analysis of proposals, supervision, and monitoring of the corporate management. Their duty is to make decisions on specific issues that the Board may delegate to them.

Corporate Audit Committee

This Committee assists the Board of Directors in its supervision functions by evaluating accounting procedures and reviewing the company’s control system, including the audit of the comprehensive risk management system. It is related to the Statutory Auditor.  Likewise, this Committee is responsible for monitoring the management and effectiveness of the business group’s internal control.

Corporate Governance, Sustainability, and Risk Committee

This Committee is in charge of the following: supporting the Board of Directors regarding the composition, remuneration, and evaluation of the Board; providing advisory to the Board and the Management about the adoption of Good Corporate Governance Practices; monitoring compliance with the Code of Good Corporate Governance; and guiding, advising, and monitoring the management of sustainability, risk, IT, and cybersecurity at our Group.

REMUNERATION OF THE BOARD OF DIRECTORS

The remuneration to our members of the Board of Directors is approved by the General Shareholders’ Meeting and is a determined sum equivalent to 141 UVT (UVT 2021: COP $ 36,308) COP $ 5,119,428 for attending each session.

Given the importance of the role of the Chairman of the Board of Directors and his responsibilities, the General Shareholders’ Meeting approved a differentiated remuneration (it is not cumulative with the previous one) and is a determined sum equivalent to 169 UVT (UVT 2021: COP $ 36,308) COP $ 6,136 .052 for attending each session.
