Organizational Structure

Led by the Board of Directors, ISA's organizational structure is divided into departments and management areas for each business area, which aim to achieve the objectives established in the General Shareholders' Meeting.

Bernardo Vargas Gibsone

Mr. Vargas is the CEO at ISA. ISA is a leading multi-latin company based in Medellin, Colombia, focusing on four different businesses: Electric Power Transmission; Telecoms; Road Concessions; and Management of Real Time Systems where it acts as an independent system operator for the Colombian electric power system. Founded in 1967, ISA operates through 33 affiliated companies in 9 countries in Latin America and more than USD12 billion in assets as of year end 2014.

Previously, Mr. Vargas was founding partner of Nogal Asesorias Financieras, an investment banking advisory boutique in Colombia specializing in local and cross-border M&A. During his more that fourteen years at Nogal, Mr. Vargas led multiple transactions in sectors such as agroindustry, pharma, autoparts, paper and packaging, mining, oil and energy among others.

He has been Director at several Boards in both for profit and non for profit corporations and foundations, such as: ISA S.A. E.S.P , Amarilo S.A. and The Pantaleon Group Inc. Also Best Buddies Colombia, Lumni Colombia among others.

Before founding Nogal in 2001, Mr. Vargas was managing director at ING Barings where he headed the corporate and investment banking operations in Colombia. Mr. Vargas joined Baring Securities in 1994 as Head of Colombia and was subsequently appointed as President and CEO for the merged operations of Barings and ING Colombia on January 1997.

Before Barings, Mr. Vargas was founding CEO of Proexport Colombia, the nation’s export promotion agency; Founding CEO of Fiducoldex a local trust bank affiliated to Bancoldex. He also acted as Advisor to then Minister of Foreign Trade, Mr. Juan Manuel Santos, now President of Colombia.

Previous to that he was Head of the External Financing and Foreign Reserves Department at the Colombian Central Bank (Banco de la República). In this position Mr. Vargas was responsible for managing the portfolio of Colombia’s foreign reserves.

Mr. Vargas obtained an MBA from Columbia University and an Economics BA and MS candidate from Universidad de Los Andes, in Bogotá, Colombia

Carlos Humberto Delgado Galeano

Chief Talent Officer. Carlos Humberto is a lawyer, with a Business Law specialization and a broad expertise and knowledge in human talent management. With a High Management program, he has successfully managed topics such as individual and collective relations, negotiations with unionists, leadership development and high level critical talent, organizational culture development and change management; always aiming at contributing with the profitable development and growth of the business and the generation of excellent work environments. He worked at ISA between 2006 and 2008 as Chief Talent Officer. Then he worked for Sumicol, as Human Talent Manager, where he stayed for almost 8 years.

Carlos Ignacio Mesa Medina

Chief Audit Officer. Financial Manager from Politécnico Jaime Isaza Cadavid and Systems Audit Specialist from Universidad EAFIT; he is an ISACA- Certified Information Systems Auditor – CISA. He has served as Internal Control Professional, Internal Audit Sub-director and Business Management Audit Manager at Empresas Públicas de Medellín –EPM; this last position held since 2013.

Olga Lucía López Marín

Chief Information Officer. She received her Systems Engineer degree from Universidad EAFIT, and obtained an MBA from Universidad Tecnológico de Monterrey. She joined ISA in May of 1989 as a Professional Analyst and was a level I, II, III Specialist in IT Planning, and later was the Coordinator of IT Engineering Team. In 1996, she was named IT Director of ISA's Administrative Office. She held this position until December of 2013.

Carmen Elisa Restrepo Vélez

Director of Corporate Communications. She received a Communications - Journalism degree from Universidad Pontificia Bolivariana and a graduate certificate in Marketing Management from Universidad de Medellín. Before joining ISA, she worked as Public Relations Manager at Fábrica de Licores y Alcoholes de Antioquia. She joined the Company in March of 1992 as the Chief of the Disclosure Section of Administrative Office. She was promoted to Corporate Image Director of the CEO's Office.

Olga Patricia Castaño Díaz

Office Strategy Officer. She received her Corporate Administrator degree from Universidad de Antioquia and was involved in several research projects there. She carried out her MSC Operational Research master's in Lancaster, England. She joined ISA in 1998 as an Employee and Organization Development Analyst. She was an Organizational Development Executive, and a Corporate Planning Executive. In November 2010, she worked as the Corporate Management Manager at Intervial Chile, an affiliate of ISA. Before she was named as VP of Strategy. she was in charge of the ISA Strategic Up-date Project.

Jorge Iván López Betancur

Director of Road Concessions. He received his Civil Engineering degree from Universidad Nacional de Colombia and a Master's in Administration from Universidad EAFIT. He joined ISA in June of 1983, and his last few positions were as follows: Materials and Equipment Management Director, Supply Director, Project Implementation Director, Road Project Director and Road Concession Director.

Andrés B. Sarmiento

Chief Business Development Officer. Economist from Universidad de los Andes with an MBA from London Business School. Before joining ISA, he worked as Vice-president and Investment Director at Corporación Financiera Colombiana S.A., being responsible for the investment in the corporate energy sector. He has extensive experience in the structuring and execution of transactions in the energy sector and has been member of the following board of directors: Surtigas S.A. E.S.P., Compañía Energética de Occidente S.A.S., PromiOriente S.A. E.S.P., Minerso S.A., Gas Comprimido del Perú (Peru), Gases del Pacífico (Peru) and Concecol. Before working for Corficolombiana S.A., he worked in investment banking - M&A - of Schroders - Schroder Salomon Smith Barney and Royal Bank of Scontland in England and Corfivalle in Colombia.
